By engaging BioShield Web Engineering ("we", "our", "us") for services, you ("Client") agree to the following terms. Please read them carefully.
1. Scope of Services
We provide web engineering, PHP remediation, security patching, backdoor removal, e-commerce development, feature integration, and digital growth services as agreed upon in the project quote or statement of work. All work is performed remotely unless otherwise specified.
2. Quotes & Payment
All quotes are valid for 14 days from the date of issuance. Payment terms are outlined in each invoice. Payments are due within the specified period on the invoice. Late payments may result in service suspension.
3. Client Responsibilities
The Client agrees to provide timely access to systems, servers, and codebases as needed. The Client represents that they have the legal authority to grant us access to the provided systems and code.
4. Intellectual Property
Upon full payment, the Client retains full ownership of all code, fixes, and deliverables produced by BioShield. We retain the right to anonymize and use project data for portfolio purposes unless otherwise agreed in writing.
5. Limitation of Liability
BioShield Web Engineering shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use our services, provided we have exercised reasonable professional care. Our total liability is limited to the amount paid for the specific project.
6. Confidentiality
We treat all client codebases, credentials, and business information as strictly confidential. We will not disclose them to any third party without explicit written consent.
7. Termination
Either party may terminate an engagement with 7 days written notice. The Client shall pay for all work completed up to the termination date.
8. Governing Law
These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved through amicable negotiation first, and if unresolved, through arbitration in Ibadan, Oyo State.

At BioShield Web Engineering, we strive to deliver high-quality work that meets your requirements. Our refund policy is designed to be fair to both parties.
1. Project-Based Work
For fixed-scope projects, we provide an initial assessment and quote before any work begins. If we cannot deliver the agreed scope after reasonable efforts, a partial or full refund may be issued at our discretion. Refund requests must be made within 14 days of project commencement.
2. Hourly / Retainer Work
For hourly or retainer-based engagements, all hours worked are billable. No refunds apply to completed billable hours. Unused retainer hours are refundable upon request.
3. Security & Emergency Work
Emergency security patching, backdoor removal, and incident response work is time-sensitive and billed at the agreed rate. No refunds apply once work has commenced due to the nature of these services.
4. Change of Mind
If you change your mind before any work has started, a full refund will be issued. If work has already begun, you will be invoiced for hours or effort already expended, and the remainder refunded.
